CONSTITUTION
Amended October-2007
ARTICLE I
NAME AND INSIGNIA
Sect. 1. The name of this club is FOUR RIVERS CORVETTE CLUB.
Sect. 2. This club shall have such official insignia as the membership
shall determine.

OBJECTIVES
Sect. 1. To Promote interest in Corvettes and
Corvette related activities.
Sect. 2. To make new friends and create good fellowship and sportsmanship
among the members.
Sect. 3. To conduct club operations and activities in such a manner as to
bring about a clear understanding on the part of the public concerning club
activities and our community responsibilities.
ARTICLE III
MEMBERSHIP
Sect. 1. There shall be three types of
membership in this club:
(a) Full Membership - by persons owning a Corvette
(b) Associate Membership - for those people involved in club activities but
not Corvette owners.
(c) Honorary Membership - bestowed on deserving individual by majority vote of
the membership.
(d) A no cost annual membership shall be given to a participating dealer
sponsor and spouse, and dealer's representative and spouse. They shall be
welcome at all club events but will hold no voting rights.
Sect. 2. All applications for membership shall be accompanied by dues in
advance.
Sect. 3.No person can become a member in good standing until a "Hold
Harmless Agreement" form is signed and shall be legally disjoined from the club
at any event until the form is signed. It is understood by all members that Four
Rivers Corvette Club has no legal responsibility for any person, personal
property, personal injury, automobiles etc. It is further understood that no
known means exist to prevent the General Public from attending Four Rivers
Corvette Club events, but only those attendees who have signed a Four Rivers
Corvette Club "Hold Harmless Agreement" form and agree to complete
non-responsibility for personal property or injury will be recognized as a
participant.
ARTICLE IV
ANNUAL DUES
Dues will be payable upon submission of application for membership with annual
renewal being due at the October meeting. The amount of dues will be as
established by the membership but will include sufficient amounts to cover the
cost of liability insurance for the club, either through association with other
organizations or by commercial policy.
Sect. 2. Dues shall be waived for any member who enters the active
military service of his country until his return to the club.
Sect. 3. Any member whose dues are in arrears 3 months shall
automatically be suspended from member ship and can be reinstated to full
membership status only upon payment of the current year's dues.
ARTICLE V
OFFICERS
Sect. 1. Elected officers of the club shall be
President, Vice-President, Secretary, Treasurer, Public Relations Officer,
Membership Chairman, Activities Director, Historian and other positions as
deemed necessary and approved by the membership.
Sect. 2. Board of Directors shall consist of the elected officers stated
in Article V Section 1 of this Constitution. In addition to the officers,
additional board members will be elected in a manner so as to insure fair
representation and maximum participation of the membership. At no time will the
number of these "Director" positions exceed a total of three.
Sect. 3. The prior year's President shall serve as an advisor to the
Board, with a vote in Board decisions in the case of a tie.
ARTICLE VI
DUTIES OF OFFICERS
Sect. 1. The President shall preside over all
meetings of the club, appoint such Committees as necessary to carry out the
activities of the club; serve as Chairman of the Board of Directors: act as
ex-officio member of all committees; issue the call for regular and special
Board meetings; see that regular elections are held in accordance with the
Club's Constitution; and carry out the directives of the Board of Directors.
Sect. 2. The Vice-President shall perform the duties of the President in
his Absence.
Sect. 3. The Secretary shall keep the minutes of the meetings of the
club; give notice of all regular and special meetings of the membership and the
Board of Directors; handle club correspondence; and keep custody of all records
of the club.
Sect. 4. The Treasurer shall collect dues; collect all other money due
the club, keep the club books; make payment from club funds when so ordered by
the Board of Directors; shall counter-sign all club checks; keep an account of
all club money matters; and shall make regular reports of the financial
condition of the club during regular meetings.
Sect. 5. The Public Relations Director shall ensure that all events are
sufficiently publicized.
Sect. 6. The Membership Chairman shall be responsible for contacting
parties interested in club membership, developing material to attract potential
members, keep membership records, report on membership status during regular
meetings, and maintain attendance records for determining the status of a
quorum.
Sect. 7. The Historian shall take pictures of all events and maintain a
scrapbook to document the activities of the club.
Sect. 8. The Activities Director shall be responsible for developing
ideas for club car runs and trips, and promotional items such as shirts, decals,
etc. The Activities Director shall serve as facilitator for club activities and
will not necessarily be responsible for individual club runs, trips, parties,
etc. and shall report on club activities during regular meetings.
Sect. 9. The Board of Directors shall be responsible for the execution of
the authorized policies of the club; shall, by majority vote, fill vacancies in
any office and in the Board of Directors; and shall submit to the club in
regular meetings recommendations which it has approved affecting the policies of
the club.
ARTICLE VII
ELECTIONS
Sect. 1. The board shall appoint a nominating committee, and which committee is to serve
without compensation or reward and which committee should nominate a slate of
officers for the upcoming year, which slate shall not be binding on any
party, interested or otherwise.
Sect. 2. Nominations for elected officers will
be held in October and be voted on in November. They will take office in January.
Sect. 3. All nominees will be members in good standing.
Sect. 4. Additional nominations may be made from the floor, at the
October business meeting and all voting will be
by secret ballot. One Board Member and one General Member shall count all
ballots. The votes are to be counted separately. If the counts do not agree, two
different members shall perform a recount.
Sect. 5. Nominations for officers will occur in the following sequence:
(a) President
(b) Vice-President
(c) Secretary
(d) Treasurer
(e) Public Relations Director
(f) Membership Chairman
(g) Activities Director
(h) Historian
Sect. 6. Officers shall hold office for a term of one year or until their
successors are elected.
Sect. 7. There shall be no limit to the number of consecutive terms that
an elected office can serve in any elected position.
Sect. 8. Installation of officers will be held in December.
Sect. 9. Election of Board Members not holding office will occur at the
first general membership meeting following the installation of Officers. Those
members elected to the board will take office upon completion of the election.
Nominations will be from the floor and voting by secret ballot. Each ballot will
contain the names of all nominees. The three members receiving the most votes
will be seated on the board. Board terms are for one year and expire with the
installation of new members.
ARTICLE VIII
MEETINGS
Sect. 1. Board members of the Four Rivers
Corvette Club hold voting rights.
Sect. 2. Regular membership meetings shall be held on the second Tuesday
of each month unless directed otherwise by the Board of Directors, at a place
and time to be determined by the Board of Directors.
Sect. 3. The Board shall hold meetings of the Board at a time and place
set.
Sect. 4. The President may call special Board meetings and the Board may
call special membership meetings.
Sect. 5. The order of business for all meetings of the club and the Board
shall be as follows:
(1) Call to order.
(2) Introduction of officers, special guests, dealer reps, etc.
(3) Introduction of guests brought by members or on their own.
(4) Reading and approval of the minutes of the previous meeting.
(5) Report of the Treasurer.
(6) Reading correspondence (Secretary)
(7) Membership Report
(8) Activities Report
(9) Reports of committees
(10) Old and New Business
(11) Announcements
(12) Adjournment
Sect. 6 All meetings shall be conducted by Roberts Rules of Order. A copy
shall be present at all meetings whenever possible and shall be the basis for
parliamentary authority for the Club unless in conflict with this Constitution
or any special rules the club may adopt.
Sect. 7 Officers shall not conduct general business meeting where the
membership is excluded. The only exceptions will be in the case of officer
recall or matters of legal consequence to the club under advice of counsel.
ARTICLE IX
DELEGATIONS
Sect. 1 Delegations shall be appointed by the
President, subject to the approval of the Board, to represent this club at any
convention, meeting or assembly as may be deemed necessary. Such delegations
shall exercise only those powers specifically vested in them by the Board.
ARTICLE X
AMENDMENTS
>Sect. 1.This Constitution can only be amended
once per year. Any proposed change must be brought before the club at the
October meeting. The proposed amendment(s) must be sent to each member by e-mail
or regular mail during October and will be voted on at the regular November
business meeting. Passage requires a quorum be present with a two-thirds vote in
favor of the amendment. A quorum consists of fifty per cent of the membership,
plus two.
Sect. 2.Amendments so adopted shall take effect in January. The
Constitution as amended, shall be distributed to all members on an annual basis
and no later than at the time of the installation of officers for the new year.
ARTICLE XI
RECALL OF OFFICERS
Sect. 1. If sufficient club members deem that an
officer of the club is not fulfilling the obligations and responsibilities of
that office, that officer will be subject to recall.
Sect. 2. The process of recall shall follow the below listed sequence of
the events:
(a) A petition requesting recall signed by 51% of the club membership shall be
submitted to the Board.
(b) The Board shall notify the membership that a recall vote will be held at
the next regularly scheduled membership meeting.
(c) The recall shall be conducted at the next membership meeting, if a quorum
is present.
(d) The recall vote shall be by secret ballot and if there is a majority vote
for recall, an election may be held immediately, but an election will be held no
later than the next scheduled meeting for that office. The recalled officer may
hold that office until said position is filled.
(e) If a motion for recall is announced, the officer in question can elect to
resign and the recall proceeding will be terminated and a re-election can be
immediately held.
(f) For the recall proceeding to take place, the officer to be recalled must
be present or have missed three consecutive meetings without just cause.
(g) A recall vote cannot be held before the officer to be recalled is given
opportunity to address the general membership (an exception to this clause in
Article XI, Section 2 (f) of this Constitution.)
Sect. 3. Records of all votes will be kept.
